El fideicomiso como garantía

Abstract

El contrato de fideicomiso en el derecho argentino es una de las herramientas jurídicas más versátiles en materia de organización patrimonial, garantía de obligaciones, y planificación negocial o sucesoria. Su regulación en el Código Civil y Comercial de la Nación Argentina ha reafirmado su carácter como instituto autónomo, dotado de estructura y finalidad propias. Desde una perspectiva funcional, el contrato de fideicomiso permite la afectación de determinados bienes a un destino específico (su causa-fin), mediante la transmisión de la propiedad fiduciaria del fiduciante al fiduciario, asumiendo su administración en beneficio de un tercero o del propio fiduciante y al fin del plazo o al cumplimiento de la condición, el fiduciario transmite el remanente al fideicomisario.

The trust contract, regulated in the Civil and Commercial Code of the Argentine Nation, constitutes an autonomous legal institution of great relevance in contemporary practice. Its versatility makes it an ideal tool not only for asset organization and estate planning, but also for the constitution of guarantees in financial and commercial transactions. Unlike traditional real guarantees, the trust as a guarantee involves the transfer of fiduciary ownership to the trustee, who manages the assets in favor of the creditor, ensuring a higher degree of protection in the event of default. This characteristic positions it as an effective and flexible mechanism, capable of adapting to the needs of the parties involved and to the dynamics of modern legal and business dealings.
